1. Acceptance of Terms
By visiting the Site, submitting a quote request, executing a written proposal or contract with us, or otherwise engaging our services, you ("you," "Client") accept these Terms. Individuals entering into agreements on behalf of an entity represent and warrant that they have authority to bind that entity.
2. About Our Services
The Happy Staff Company provides turnkey employee appreciation, workplace wellness, and corporate event services in the greater Las Vegas area, including:
- On-site corporate chair massage
- DJ entertainment
- Giveaways, raffles, and prize coordination
- Snack and refreshment stations
- Trade show and convention booth experiences
- Custom event packages
Specific service descriptions, deliverables, pricing, dates, and scope are set out in written proposals, quotes, statements of work, or invoices ("Service Agreement(s)"). If there is a conflict between these Terms and a signed Service Agreement, the Service Agreement controls for that engagement.
3. Quotes, Proposals, and Booking
- Quotes are valid for 30 days from issuance unless otherwise stated.
- A booking is confirmed only upon (a) Client acceptance of the proposal in writing (including email or e-signature), and (b) payment of any required deposit.
- Dates are not held or reserved until a booking is confirmed.
- Changes to scope, headcount, date, or location after booking may result in adjusted pricing.
4. Payment Terms
- Deposit: Unless otherwise agreed, a non-refundable deposit of 50% of total estimated cost is required to confirm a booking.
- Balance: The remaining balance is due no later than the day of the event, unless other terms are stated in the Service Agreement.
- Payment methods: We accept major credit cards, ACH/bank transfer, and other methods we may designate. Credit card payments are processed by third-party providers (e.g., Stripe).
- Late payments: Past-due invoices may accrue interest at 1.5% per month or the maximum rate permitted by Nevada law, whichever is lower, plus reasonable collection costs.
- Taxes: Prices do not include applicable Nevada sales/use taxes unless stated. The Client is responsible for taxes legally imposed on the services.
- Chargebacks: Initiating a chargeback without first contacting us in good faith to resolve a billing concern is a material breach of these Terms.
5. Cancellations & Rescheduling
5.1 Cancellation by Client
- 21+ days before event: Deposit is forfeited; no additional charges.
- 8–20 days before event: 75% of total contracted amount is due.
- 0–7 days before event: 100% of total contracted amount is due.
5.2 Rescheduling
The Client may request to reschedule once, subject to availability, with at least 7 days' notice and no change fee. Additional reschedules or rescheduling with less than 7 days' notice may incur fees up to 25% of the contracted amount.
5.3 Cancellation by The Happy Staff Company
We reserve the right to cancel a booking due to non-payment, breach of these Terms, safety concerns, or circumstances beyond our reasonable control. In such cases, we will refund any amounts paid for services not yet delivered, less reasonable costs already incurred.
6. Client Responsibilities
Client agrees to:
- Provide accurate event details (headcount, location, schedule, special requirements)
- Ensure the venue is reasonably accessible, safe, and suitable for the contracted services, including adequate space, power, and Wi-Fi where applicable
- Designate a point of contact reachable on the event day
- Communicate any dietary restrictions, accessibility needs, or special accommodations in advance
- Obtain any necessary venue, building, or convention authorizations for our team and equipment
- Treat our staff and vendors with respect; we reserve the right to remove staff from situations involving harassment, threats, or unsafe conditions, without refund
7. Chair Massage Specific Terms
- All chair massage services are performed by Nevada-licensed massage therapists.
- Sessions are limited to chair-based, clothed, non-clinical wellness massage and do not constitute medical treatment, diagnosis, or therapy.
- Recipients participate voluntarily and are encouraged to disclose any medical conditions, recent injuries, allergies, or pregnancy before a session so the therapist can adjust accordingly.
- Recipients may refuse, modify, or end a session at any time.
- Therapists may decline to provide service to any recipient if they reasonably believe service may cause harm or is contraindicated.
- Chair massage is not a substitute for medical care. If a recipient is under medical treatment, they should consult their healthcare provider before participating.
8. Vendors & Subcontractors
We may engage qualified third-party vendors and independent contractors to deliver portions of our services (e.g., DJs, caterers, additional therapists). We select and oversee these vendors but each retains independent licensure and insurance. Vendors are not employees of The Happy Staff Company.
9. Intellectual Property
All content on the Site — including text, graphics, logos, photographs, designs, and trademarks — is the property of The Happy Staff Company LLC or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works without our prior written consent, except for personal, non-commercial viewing of the Site.
"The Happy Staff Company," our logo, and "Better People. Better Workplaces." are trademarks of The Happy Staff Company LLC.
10. Photography & Marketing Use
Unless the Client opts out in writing in advance, we may take photographs and short video clips at events for portfolio, social media, and marketing purposes. Photos will be tasteful, will avoid identifying individuals where reasonably possible, and will not include recognizable confidential business information. The Client is responsible for informing attendees of photography and obtaining any internal approvals required by their organization. Attendees who do not wish to be photographed should notify our team on site and we will accommodate.
11. Disclaimers & Limitation of Liability
11.1 Disclaimers
The Site and our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
Information on the Site (including statistics about employee retention, productivity, and engagement) is for general informational purposes only and is not professional advice.
11.2 Limitation of Liability
To the maximum extent permitted by Nevada law, in no event will The Happy Staff Company, its members, officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — arising out of or related to the Site, our services, or these Terms, even if advised of the possibility of such damages.
Our total cumulative liability arising out of or related to these Terms or any Service Agreement will not exceed the amount actually paid by the Client to The Happy Staff Company for the specific services giving rise to the claim during the 12 months preceding the event giving rise to the claim.
Some jurisdictions do not allow exclusion of certain warranties or limitations of liability; in those jurisdictions, our liability is limited to the greatest extent permitted by law.
12. Indemnification
The Client agrees to defend, indemnify, and hold harmless The Happy Staff Company LLC and its members, officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the Client's breach of these Terms or any Service Agreement; (b) the Client's violation of any law or third-party right; (c) the conduct of the Client's employees, guests, or attendees at an event; or (d) any inaccurate information provided by the Client.
13. Force Majeure
Neither party is liable for delays or failures to perform due to causes beyond reasonable control, including acts of God, natural disasters, pandemics or public health emergencies, government action, terrorism, civil unrest, utility or internet failures, labor disputes, or venue closures. If a force majeure event makes performance impossible or impractical, the parties will work in good faith to reschedule. If rescheduling is not feasible within 12 months, either party may terminate the affected Service Agreement, and we will refund amounts paid for services not yet delivered, less reasonable costs already incurred.
14. Governing Law & Dispute Resolution
These Terms and any Service Agreement are governed by the laws of the State of Nevada, without regard to conflict of laws principles.
14.1 Informal Resolution
Before initiating any formal dispute, the parties agree to attempt to resolve the matter informally by contacting contact@thehappystaffco.com with a written description of the dispute and to negotiate in good faith for at least 30 days.
14.2 Venue
Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Clark County, Nevada, and the parties consent to personal jurisdiction and venue in those courts.
14.3 Waiver of Jury Trial
To the maximum extent permitted by law, each party waives the right to a jury trial in any dispute arising out of or related to these Terms or any Service Agreement.
15. Site Use & Acceptable Conduct
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms
- Attempt to gain unauthorized access to any portion of the Site, servers, or related systems
- Use automated scrapers, bots, or similar tools to extract data, except for legitimate search engine indexing
- Interfere with the operation or security of the Site
- Submit false, misleading, or fraudulent information through any form
- Upload or transmit malware, viruses, or other harmful code
We reserve the right to suspend or terminate access to the Site at our discretion.
16. Changes to Terms
We may update these Terms from time to time. The "Last Updated" date reflects the most recent revision. Material changes will be announced via the Site or by notice to active Clients. Continued use of the Site or our services after the effective date constitutes acceptance of the revised Terms.
17. Miscellaneous
- Entire Agreement: These Terms, together with any signed Service Agreement, constitute the entire agreement between the parties regarding the subject matter and supersede prior agreements or understandings.
- Severability: If any provision is held unenforceable, the remaining provisions remain in full force and effect.
- No Waiver: Failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Independent Contractor: The relationship between the parties is that of independent contractors. Nothing creates a partnership, joint venture, employment, or agency relationship.
- Headings: Section headings are for convenience only and have no legal effect.
- Notices: Notices to us should be sent to contact@thehappystaffco.com. Notices to the Client may be sent to the email address provided in any Service Agreement or quote request.
